Acceptance of Terms

By accessing or using the Gearbox platform, you agree to be bound by these Terms of Service. If you are using Gearbox on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

Description of Service

Gearbox provides a software platform for network hardware lifecycle management, including digital twin visualization, demand forecasting, predictive failure analysis, spares optimization, and automated procurement. The platform is provided as a software-as-a-service (SaaS) offering.

Account Registration

You must create an account to use Gearbox. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information during registration.

Subscription and Payment

Gearbox is offered on a subscription basis. Fees are specified in your order form or agreement. Payments are due in advance. Late payments may result in service suspension. All fees are non-refundable except as expressly stated in your agreement.

Data Ownership

You retain all ownership of your data, including network telemetry, device inventory, and procurement information. Gearbox is granted a limited license to process your data solely to provide the service. Aggregate, anonymized data may be used to improve the platform.

Acceptable Use

You agree not to: (a) use the platform for any unlawful purpose; (b) attempt to gain unauthorized access to the platform or its systems; (c) interfere with the operation of the platform; (d) reverse engineer, decompile, or disassemble the platform; or (e) use the platform to transmit malware or other harmful code.

Service Level Agreement

Enterprise plans include a service level agreement (SLA) with guaranteed uptime and response times. SLA terms are specified in your order form. Pilot plans do not include an SLA but we strive to maintain the same level of availability.

Limitation of Liability

To the maximum extent permitted by law, Gearbox shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising out of or related to your use of the platform.

Termination

Either party may terminate the agreement with written notice. Upon termination, your access to the platform will be revoked and your data will be exported or deleted in accordance with our data retention policy. Sections regarding payment, data ownership, and limitation of liability survive termination.

Governing Law

These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising from these terms shall be resolved in the courts of Delaware.

Changes to Terms

We may modify these terms from time to time. We will notify you of material changes via email or through the platform. Continued use of Gearbox after changes take effect constitutes acceptance of the modified terms.
